Terms of Service

1. Agreement
These Terms of Service (“Terms”) are a contract between BizRevVue (“BizRevVue”, “we”, “us”) and the entity or person agreeing to them (“Customer”, “you”). By creating an account, accessing or using the BizRevVue platform or website (the “Service”), you accept these Terms. If you accept on behalf of an organisation, you represent that you are authorised to bind it.
2. The Service
BizRevVue provides a review management and reputation platform, including a unified review inbox, AI-assisted reply drafting and analysis, review-collection campaigns, analytics, competitor and listing tracking, integrations, and administrative features such as roles, API keys, webhooks and audit logs. Features available to you depend on your plan.
3. Accounts and access
- You must provide accurate registration information and verify your email address.
- You are responsible for your workspace configuration, for the roles and permissions you grant, and for all activity under your accounts and API keys.
- You must keep credentials secure and enable multi-factor authentication where your organisation requires it.
- The built-in Owner role cannot be removed; you are responsible for retaining at least one active Owner.
4. Plans, limits and billing
- Plans carry limits, including on locations and members. Exceeding a plan limit may block the relevant action until you upgrade.
- Fees, billing cycle, taxes, renewal and cancellation terms are set out in your order or as otherwise agreed with us in writing.
- Except where required by law, fees are non-refundable.
5. Customer data and content
- As between the parties, you retain all rights in the data and content you or your users submit or that BizRevVue imports on your instruction (“Customer Data”).
- You grant BizRevVue a licence to host, process and transmit Customer Data to provide and improve the Service, including generating AI drafts and metadata and publishing replies you author to connected platforms.
- You are responsible for having the necessary rights and lawful basis for Customer Data and for complying with the terms of connected platforms, including Google.
- Processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Addendum.
6. AI features
AI-generated replies, summaries, insights and recommendations are suggestions only. They may be inaccurate or incomplete, are never published without a user action, and you are responsible for reviewing any content before it is published or acted upon. BizRevVue does not warrant any particular outcome from AI features.
7. Acceptable use
You will not, and will not permit others to:
- submit unlawful, infringing or deceptive content, including fake or incentivised reviews that violate a platform's policies or applicable law;
- use the review-collection flow to filter, gate or suppress genuine negative feedback in violation of any review platform's terms;
- probe, scan, overload or circumvent rate limits or security controls;
- reverse engineer the Service except to the extent permitted by law;
- resell or provide the Service to third parties except as expressly permitted for agency use.
8. Integrations and third parties
The Service interoperates with third-party platforms via their APIs. Your use of those platforms is governed by their terms, and their availability and behaviour are outside BizRevVue's control. BizRevVue is not responsible for third-party services or for changes they make to their APIs.
9. Service levels and support
BizRevVue aims to keep the Service available and performant and monitors it continuously. Any committed uptime, support response times and maintenance practices apply only where agreed with you in writing. Support is available at hello@bizrevvue.com.
10. Intellectual property
BizRevVue and its licensors own the Service, its software and all related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used by BizRevVue without restriction.
11. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service and use it only to perform under these Terms.
12. Warranty disclaimer
Except as expressly stated, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party's total liability arising out of these Terms will not exceed the fees you paid to BizRevVue in the 12 months before the claim.
14. Indemnification
You will defend and indemnify BizRevVue against third-party claims arising from Customer Data or your use of the Service in breach of these Terms, and BizRevVue will defend and indemnify you against third-party claims that the Service as provided infringes their intellectual property rights, subject to the indemnified party giving prompt written notice of the claim, reasonable cooperation, and control of its defence and settlement.
15. Suspension and termination
- Either party may terminate for material breach not cured within 30 days of notice.
- BizRevVue may suspend access for security risk, non-payment or violation of section 7.
- On termination, your right to use the Service ends. You may export Customer Data during your subscription and for 30 days after termination, after which it may be deleted per the Privacy Policy.
16. Changes to the Service or Terms
BizRevVue may update the Service and, on reasonable notice, these Terms. Continued use after an update takes effect constitutes acceptance. Material adverse changes will be notified to account administrators.
17. Governing law and disputes
These Terms are governed by the laws of India, and the parties submit to the exclusive jurisdiction of the courts in Maharashtra, India.
18. General
These Terms, plus any order and the Privacy Policy, are the entire agreement between the parties. If a provision is unenforceable, the rest remains in effect. Neither party may assign these Terms without consent, except in connection with a merger or sale of substantially all assets.
